Terms of Service

1. Purpose

These Terms of Service ("ToS") define the conditions for accessing and using the SynkriaOps service published by SynkriaOps SARL (hereinafter "the Publisher"), accessible at https://app.synkriaops.com and its related subdomains.

Any use of the Service implies full and complete acceptance of these ToS. The User acknowledges having read these ToS before any account creation or use of the Service.

2. Definitions

  • Service: the SynkriaOps SYSCOHADA accounting SaaS platform.
  • User: any natural person holding an active account.
  • Tenant: autonomous accounting entity created by a User.
  • User Data: all data entered, imported, or generated within a Tenant.

3. Service access

Access to the Service requires the creation of a free account. The User agrees to provide accurate information during registration and to keep such information up to date.

The Publisher reserves the right to suspend any account in case of breach of these ToS, or in case of clearly fraudulent use.

4. User commitments

The User notably commits to:

  • Use the Service in accordance with its purpose and applicable laws (in particular OHADA, the tax code of the country of residence);
  • Not attempt to access Tenants not belonging to them, circumvent security mechanisms, or exploit vulnerabilities;
  • Maintain the confidentiality of login credentials;
  • Respect the intellectual property of the Publisher and other Users;
  • Not use the Service for tax fraud, money laundering, or any other illegal use.

5. Publisher commitments

  • Service availability with SLA commitment (to be defined in the commercial contract for paying Users);
  • Daily backups of User Data with PITR (Point-In-Time Recovery) over 35 days;
  • Confidentiality and security in accordance with the Privacy Policy;
  • Notification of any major Service interruption.

6. Intellectual property

The Service, its source code, design and all the elements that compose it are the exclusive property of the Publisher or its licensors. No right is granted to the User other than the right to personal use of the Service.

User Data remains the full property of the User. The Publisher only has a right to host and process strictly necessary to provide the Service.

7. Liability

The Publisher provides the Service "as is" and makes every effort to ensure its availability and accuracy. However, the Publisher cannot be held liable for direct or indirect consequences related to the use of the Service, particularly in case of:

  • Incorrect entry by the User resulting in an incorrect tax declaration;
  • Force majeure;
  • Occasional unavailability of a third-party service (bank, Mobile Money operator, OCR);
  • SYSCOHADA regulatory developments not yet implemented.

8. Termination

The User may terminate their account at any time from the Settings interface or by contacting [email protected]. User Data is retained for 90 days after termination to allow for possible reactivation, then permanently deleted (except for legal retention obligations).

The Publisher may terminate access in case of serious breach of these ToS, after 7 days prior notice unless urgent.

9. Applicable law and jurisdiction

These ToS are governed by Cameroonian law and OHADA law for accounting aspects.

In case of dispute, the User and the Publisher will endeavor to find an amicable solution. Failing that, the competent courts of the Publisher's registered office will have sole jurisdiction, without prejudice to the rules of public order applicable to consumers.

10. Modifications

The Publisher reserves the right to modify these ToS at any time. Users will be informed by email at least 15 days before the modifications take effect. Continued use of the Service after this period constitutes acceptance of the new ToS.
